WolfNET End User License Agreement (EULA)

1. Definitions

"Service" means the WolfNET platform, applications, APIs, and related services provided by Helion Forge. "Subscriber" means the person or entity that creates an account or otherwise uses the Service. "Subscriber Data" means all data, content, and files submitted to the Service by or on behalf of the Subscriber. "Documentation" means any user guides, manuals, or technical documentation made available by Helion Forge.

2. License Grant

Subject to this EULA, Helion Forge grants Subscriber a limited, non-exclusive, non-transferable, revocable license to access and use the Service and Documentation solely for Subscriber's internal business or organizational purposes.

3. Subscription and Billing

Subscriber agrees to pay all fees associated with the selected subscription tier and billing cycle. Fees are billed in advance and are non-refundable except as required by law. Subscription fees may change with at least thirty (30) days' notice. The Service auto-renews unless cancelled before the end of the then-current billing period. Payment methods must be valid and current at all times.

4. Acceptable Use

Subscriber agrees not to: (a) use the Service for any unlawful purpose; (b) harass, threaten, or abuse others; (c) infringe any intellectual property rights; (d) upload malware or engage in security exploitation; (e) scrape, reverse engineer, or attempt to derive source code from the Service; (f) resell, sublicense, or provide the Service to third parties without written permission; or (g) interfere with or disrupt the Service.

5. Subscriber Data

Subscriber retains all rights to Subscriber Data. Helion Forge processes Subscriber Data only to provide and improve the Service. Helion Forge will use commercially reasonable safeguards to protect Subscriber Data and will not disclose Subscriber Data except as required to provide the Service or comply with law.

6. Data Retention and Deletion

If a Subscriber requests deletion or their account is terminated, Helion Forge will place the Subscriber's organization in a soft-deleted state for seven (7) days during which restoration may be requested. After the grace period, Subscriber Data will be archived and made available for download for thirty (30) days, after which it will be permanently deleted.

7. Intellectual Property

The Service, Documentation, and all related intellectual property are owned by Helion Forge or its licensors. Subscriber receives a license to use the Service, not ownership. All rights not expressly granted are reserved.

8. Confidentiality

Each party agrees to protect the other party's confidential information and to use such information only to perform obligations under this EULA. Confidential information does not include information that is publicly available or independently developed without use of confidential information.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." HELION FORGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HELION FORGE DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELION FORGE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE FEES PAID BY SUBSCRIBER TO HELION FORGE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL HELION FORGE BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

11. Indemnification

Subscriber will indemnify, defend, and hold harmless Helion Forge from and against any claims, damages, liabilities, and expenses arising from Subscriber's use of the Service, Subscriber Data, or violation of this EULA.

12. Termination

Either party may terminate this EULA by providing written notice. Upon termination, Subscriber's access to the Service will be discontinued and data handling will follow Section 6. Sections intended to survive termination (including Sections 7 through 11, 13, and 15) will survive.

13. Governing Law and Venue

This EULA is governed by the laws of the State of Kansas, USA, without regard to conflict of law rules. Any disputes shall be resolved exclusively in the state or federal courts located in Kansas, and the parties consent to such jurisdiction.

14. Modifications

Helion Forge may update this EULA with at least thirty (30) days' notice. Continued use of the Service after the effective date of an updated EULA constitutes acceptance.

15. Entire Agreement; Severability; Assignment

This EULA is the entire agreement between the parties regarding the Service and supersedes all prior agreements. If any provision is held unenforceable, the remainder will remain in effect. Subscriber may not assign this EULA without prior written consent from Helion Forge.
